US Private Placements (USPP)

Fully integrated into the broader Debt Capital Markets business, the team is responsible for the origination, structuring and distribution of securities which are exempt from registration under US securities regulations. The team provides our global clients with efficient access to a long-dated, non-bank debt financing solution.

The USPP market is a niche sub-set of the US bond markets whose investors are primarily top-tier US-based insurance companies together with some UK/European participants. We provide our clients with access to this institutional investor base that focuses exclusively on buying unlisted and often unrated fixed income securities.

In North America the team focuses on:

  • Origination – providing alternative financing solutions to our clients
  • Structuring – advising on terms and conditions appropriate for a particular offering
  • Distribution – access to the purchasers of private securities in the US,UK and Europe

The team has a vast breadth of experience executing transactions for clients across all sectors and hailing from a multitude of jurisdictions (including the UK, US and Continental Europe), the market is flexible enough to offer multiple currencies, offering structures and delays to funding. Co-located in London and New York, we operate under a ‘One Team’ approach which means that there is no hand-off from origination to structuring to sales during the execution process – rather, the same specialists manage the transaction from start to finish.
